Board Committees

Audit Committee

The Audit Committee is mandated by the Board to: review the interim and audited financial statements, including the Management's Discussion and Analysis; review all public disclosure documents containing audited or unaudited financial information; make recommendations regarding the appointment of the internal and external independent auditors and their remuneration; review any proposed changes in accounting practice or policies; review the nature, scope and results of the internal and external audits; obtain an explanation from Management of all significant variances between comparative reporting periods; and receive assurance of the adequacy of Extendicare's financial disclosure controls. The Audit Committee meets at least five times a year, and meets regularly with the internal and external auditors independently of management.

The Audit Committee is currently composed of four independent Directors. All members of the Audit Committee are considered by the Board of Directors to be financially literate, in that they maintain the ability to read and understand a balance sheet, an income statement and a cash flow statement.

Human Resources, Governance and Sustainability Committee

The Human Resources, Governance and Sustainability Committee's primary function is to assist the Board fulfilling its obligations relating to human resources, governance and sustainability matters.

On issues related to human resources, including organizational strength, executive compensation, and overseeing risks related thereto, the Committee shall enable the Board to recruit, retain and motivate senior executives, including the Chief Executive Officer, and ensure conformity between compensation and other corporate objectives; and shall review, create and recommend policy and strategy with respect to salaries, benefits, incentive compensation and succession planning of senior management.

On issues related to corporate governance and sustainability, the Committee shall assist the Board in developing and implementing the Company’s corporate governance and sustainability principles and practices, in overseeing risks related to the Company’s governance structure and processes and sustainability programs, in overseeing and monitoring the Company’s environmental, social and governance initiatives, in identifying qualified individuals to become board members, in determining the composition of the board of directors and its committees, and in assessing the effectiveness of the Board as a whole, its committees and the contributions of the individual directors. Any director who wishes to engage outside advisors with respect to the affairs of Extendicare, at the expense of the company, is required to review such matter with this Committee.

The Human Resources, Governance and Sustainability Committee is composed of three independent Directors.

Quality and Risk Committee

The primary objective of the Quality and Risk Committee (the “QR Committee”), is assuring that Extendicare and its operations have in place the programs, policies and procedures, including an enterprise-wide risk management framework and action plan, to support and enhance the quality of care provided and compliance with applicable health care laws and regulations. The QR Committee’s responsibilities include providing oversight of Extendicare’s clinical, compliance and quality programs; monitoring Extendicare’s clinical performance and outcomes against internal and external benchmarks; reviewing policies, procedures and standards of conduct designed to provide the appropriate quality of care, client safety and compliance with applicable laws and regulations; and overseeing and monitoring the Company's enterprise risk management framework, overall risk profile and risk management policies, procedures and programs.

Securityholder Relations

Extendicare holds scheduled quarterly telephone conference calls with investors and analysts. Securityholder questions and concerns are handled by the offices of the Chief Executive Officer, Chief Financial Officer, and Corporate Secretary. Securityholder information is posted on the Extendicare website at www.extendicare.com.
